Terms of Service — Missionomics

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of missionomics.com and its related services (collectively, the "Service"), operated by Missionomics ("Missionomics," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please don't use the Service.

2. Description of the Service

Missionomics is an informational and educational research tool that helps you explore how public companies align with values and causes you care about, and build model portfolios reflecting those preferences.

Portfolios built and tracked on Missionomics are simulated ("paper") portfolios. They use a hypothetical starting cash balance and real historical/daily market prices for illustration, but no real trades are placed, no brokerage account is linked, and no real money moves as a result of using the Service. Nothing you do on Missionomics buys, sells, or otherwise transacts in any actual security.

The Service is not a broker-dealer, investment adviser, or exchange, and nothing on the Service constitutes an offer or solicitation to buy or sell any security.

3. Account Registration and Responsibilities

You must be at least 13 years old, and legally able to enter into these Terms, to create an account.
Account creation and sign-in are handled by our authentication provider, Clerk. You're responsible for keeping your login credentials secure and for all activity that occurs under your account.
You agree to provide accurate information and to notify us if you believe your account has been compromised.
You may request deletion of your account at any time (see our Privacy Policy).

4. Acceptable Use

When using the Service, you agree not to:

Scrape, crawl, or use automated tools to extract data from the Service beyond normal, individual use;
Attempt to disrupt, overload, or gain unauthorized access to our systems, APIs, or infrastructure;
Reverse-engineer, decompile, or attempt to derive the source code or scoring methodology except as permitted by applicable law;
Impersonate another person, or misrepresent your affiliation with any person or entity;
Use the contact form or any communication feature to send spam, harassment, or unlawful content;
Use the Service for any unlawful, fraudulent, or harmful purpose.

We may suspend or terminate access for anyone who violates this section (see Section 11).

5. User-Generated Content

The Service lets you create and name funds, write descriptions, and choose a display identity that may be shown to other users (for example, on the community leaderboard). You retain ownership of the content you create, but by publishing it on Missionomics you grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute it within the Service for as long as it remains published. You're responsible for what you post — don't publish anything unlawful, infringing, misleading, or offensive. We may remove content or accounts that violate these Terms.

6. Leaderboard and Community Conduct

The Community leaderboard displays published portfolios ("funds") from other users, and may also include portfolios generated by Missionomics itself (e.g. illustrative or benchmark entries) for comparison purposes. We aim to make these reasonably distinguishable, but the leaderboard is provided for engagement and inspiration, not as investment research about other users' real-world financial decisions. Treat other members respectfully; harassment, manipulation of rankings, or fraudulent activity on the leaderboard is not permitted and may result in account suspension.

7. Intellectual Property

The Service, including its design, branding, software, scoring methodology, and original content (excluding user-generated content and third-party data), is owned by Missionomics and protected by intellectual property laws. We grant you a limited, personal, non-transferable, revocable license to use the Service for its intended purpose. Company data, filings, and other third-party information referenced in the Service remain the property of their respective sources and are used for research/reference purposes.

8. Third-Party Services

The Service relies on third-party providers, including Clerk (authentication), Resend (email delivery), Financial Modeling Prep (market data), and Railway (hosting). We don't control these providers and aren't responsible for their outages, errors, or changes in availability. Your use of features that depend on them is also subject to their applicable terms.

9. Disclaimers

Not financial advice. Missionomics is provided for informational and educational purposes only. Nothing on the Service is, or should be construed as, personalized investment, legal, or tax advice, or a recommendation to buy or sell any security. You are solely responsible for any investment decisions you make, on or off this platform.

No guarantee of data accuracy. Company scores, values/ESG classifications, and other data are derived from public filings, disclosures, and AI-assisted analysis, and may be incomplete, outdated, or inaccurate. We make no warranty as to the accuracy, completeness, or reliability of this data.

Past performance. Any historical or simulated performance shown is for illustration only and is not indicative of, and does not guarantee, future results — simulated or real.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MISSIONOMICS AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). The Service is currently free to use and does not process payments for investing or trading; if we introduce optional paid features in the future, payments would be processed by a third-party provider such as Stripe under its own applicable terms.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, or if we discontinue the Service, with or without notice, at our discretion. Sections of these Terms that by their nature should survive termination (e.g. disclaimers, limitation of liability, intellectual property) will continue to apply.

12. Indemnification

You agree to indemnify and hold Missionomics harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Service.

13. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-laws principles, unless otherwise required by the laws of your jurisdiction of residence. (Placeholder — the owner should update this to a specific state once decided.)

14. Changes to These Terms

We may update these Terms from time to time as the Service evolves. We'll update the "last updated" date above, and for material changes we'll make a reasonable effort to notify you in-app. Continuing to use the Service after changes take effect means you accept the updated Terms.
